Shanghai Silicon Industry Announces Major Asset Restructuring Worth 7 Billion Yuan

According to SEMI's official WeChat account, on September 6, Shanghai Silicon Industry announced that the company intends to acquire 46.7354% equity of New Shengjing Investment, 49.1228% equity of New Shengjing Technology, and 48.7805% equity of New Shengjing Rui from the counterparty through issuing shares and paying cash, and to issue shares to no more than 35 (including 35) specific investors to raise supporting funds. The transaction amount (excluding the amount of raised supporting funds) will reach 7.04 billion yuan.
The announcement shows that according to relevant regulations, this transaction constitutes a major asset restructuring and a related-party transaction, but does not constitute a restructuring listing. The merger and acquisition plan will be submitted to the Shanghai Stock Exchange Mergers and Acquisitions Review Committee for review on September 12, 2025.
Shanghai Silicon Industry stated that the company is one of the largest, most technologically advanced, and most internationalized semiconductor silicon wafer enterprises in China. The target companies are all the implementing entities of Shanghai Silicon Industry's 300mm silicon wafer Phase II project. Among them, New Shengjing Investment is the holding platform; New Shengjing Technology mainly engages in 300mm semiconductor silicon wafer cutting, grinding, polishing, and epitaxy-related businesses; New Shengjing Rui mainly engages in 300mm semiconductor silicon wafer crystal pulling business. New Shengjing Technology and New Shengjing Rui have now established 300mm semiconductor silicon wafer production lines with higher automation and higher production efficiency.
After the completion of this transaction, Shanghai Silicon Industry will hold 100% equity of the target companies through direct holding and stepwise holding via its wholly-owned subsidiary Shanghai Xinsheng. The acquisition of minority equity in the target companies is an extension of the company's strategic development, which is conducive to further management integration, optimizing resource allocation, leveraging synergies, improving operational management efficiency, enhancing the technological iteration capability and scale benefits of Shanghai Silicon Industry's 300mm semiconductor silicon wafer business, and comprehensively consolidating its core competitiveness in the semiconductor materials field.
